Please read them carefully.
1. Acceptance of terms
By creating an account, accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you may not use the Service. If you use the Service on behalf of a business, you confirm that you are authorised to bind that business to these Terms.
2. Description of the service
EnveloPay is a workforce wages and payroll tool for South African small businesses. It helps you record attendance, calculate wages, overtime, UIF and leave in line with the Basic Conditions of Employment Act (BCEA), and produce digital payslips.
EnveloPay is a software tool to assist you. It does not constitute legal, tax, HR or accounting advice. EnveloPay builds the rules of the BCEA into the system to provide guidance and to flag exceptions on the path to becoming and staying compliant, based on your organisation's normal or routine workforce and wage-management processes. This guidance is a convenience, not a substitute for professional advice: you remain responsible for ensuring that the wages you pay and the records you keep comply with applicable law, and for verifying calculations before relying on them.
3. Accounts
You must provide accurate information when registering and keep your login credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at hello@envelopay.co.za if you suspect unauthorised use. You must be at least 18 years old to use the Service.
4. Subscription terms
The Service is offered on a free plan and on paid subscription plans (Starter, Growth and Pro), each with different limits and features. Paid plans are billed monthly or annually, as selected. We may offer a free trial period on paid plans; unless cancelled before the trial ends, the plan converts to a paid subscription.
We may change plan features, limits or pricing from time to time. Where changes affect your active paid subscription, we will give reasonable advance notice and the change will take effect from your next billing cycle.
5. Payment
Subscription fees are quoted in South African Rand (ZAR) and are payable in advance through our payment processor, PayFast. By subscribing, you authorise us to charge the applicable fee to your chosen payment method on each billing date until you cancel. Except where required by law, fees already paid are non-refundable.
6. Cancellation, downgrade and lapse
You may cancel your subscription at any time from within the Service. Cancellation takes effect at the end of your current billing period, and you will retain access to paid features until then.
Your data is never deleted when you downgrade, cancel or a payment lapses. Instead, your account reverts to the limits of the free tier (a "soft-lock"). Your full history — workers, businesses, attendance, pay runs and payslips — is retained intact. Where your account holds more workers or businesses than the free tier allows, the records beyond the free limit are not removed; they become read-only and you choose which workers and businesses remain active within your free allowance. Everything becomes fully editable again the moment you re-subscribe to a plan that covers them.
If a payment fails, we apply a 7-day grace period with daily reminders before any soft-lock takes effect, so an expired card never costs you access mid-pay-run. We may suspend or terminate an account that breaches these Terms, fails to pay fees due, or is used unlawfully.
7. Acceptable use
You agree not to:
- use the Service for any unlawful purpose or in breach of any applicable law;
- upload data you do not have the right to provide, or infringe the rights of others;
- attempt to gain unauthorised access to the Service, other accounts or our systems;
- interfere with, disrupt or place undue load on the Service;
- copy, resell, reverse-engineer or create derivative works from the Service.
8. Intellectual property
The Service, including its software, design, branding and content, is owned by DBM Webengineers (Pty) Ltd and protected by intellectual property laws. You retain ownership of the data you enter into the Service. You grant us a limited licence to process that data solely to provide and improve the Service, as described in our Privacy Policy.
9. Limitation of liability
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free or that calculations will be free of error.
To the fullest extent permitted by law, DBM Webengineers (Pty) Ltd will not be liable for any indirect, incidental, special or consequential damages, or for any loss of profits, revenue, data or goodwill arising from your use of the Service. Where liability cannot be excluded, our total liability is limited to the amount you paid us for the Service in the three months preceding the claim. Nothing in these Terms limits liability that cannot lawfully be limited under South African law, including the Consumer Protection Act.
10. Governing law
These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. You agree to the exclusive jurisdiction of the South African courts in respect of any dispute arising from or relating to these Terms or the Service.
11. Changes and contact
We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, notify you through the Service. Your continued use of EnveloPay after changes take effect constitutes acceptance of the revised Terms.
